These Terms of Use ("Terms") govern your use of the CM Media website (cmmedia.io), the free audience audit, and any resulting creator partnership process. CM Media is a trading name operated by Arshad Patel, a sole trader based in the United Kingdom. These Terms are issued by Arshad Patel.

By submitting the audit form, or by otherwise engaging with CM Media's services, you agree to be bound by these Terms.

1. Who we are

CM Media is a trading name operated by Arshad Patel, trading as CM Media. CM Media has not yet been incorporated as a limited company; all references to CM Media in these Terms refer to Arshad Patel, the sole trader operating under that name.

2. Eligibility

The free audience audit and any resulting partnership are available only to individuals aged 18 or over. By submitting the audit form, you confirm that you meet this requirement and that the Instagram account submitted is one you own or are authorised to represent.

Creators engaging with CM Media do so in a business capacity, in connection with the commercial exploitation of their own audience and content. These Terms do not create a consumer relationship, and creators acknowledge they are acting as a business for the purposes of these Terms.

3. The free audience audit

Submitting your Instagram handle and email address through the audit form requests a personalised audience audit from CM Media. Submitting the form does not create any obligation on either party, and does not guarantee that CM Media will offer a partnership. CM Media reserves the right to decline to work with any creator, at its discretion, following the audit.

Audit outputs are based on publicly available information and information voluntarily provided by the creator. They represent CM Media's honest assessment at the time of review, not a guarantee of future results.

4. Commercial relationship

Where CM Media and a creator agree to work together, the commercial terms of that partnership — including the revenue-share percentage, scope of work, and responsibilities of each party — will be set out in a separate, signed working agreement between CM Media and the creator ("Working Agreement"). These Terms govern use of the website and the audit process only, and do not themselves constitute a partnership agreement. Where these Terms and a Working Agreement conflict, the Working Agreement takes precedence in relation to the matters it covers.

CM Media is currently operated by Arshad Patel as a sole trader and has not yet been incorporated as a limited company. Any future change to the legal structure of the business will not affect the validity of agreements entered into prior to that change.

5. Confidentiality

In the course of the audit and any resulting partnership, each party may share information that is not publicly available, including audience data, revenue figures, business plans, strategy, and proprietary methodology ("Confidential Information").

Each party agrees to keep the other's Confidential Information private, and not to disclose it to any third party or use it for any purpose outside the audit or the partnership, except: where disclosure is required by law; where the information was already lawfully known to the receiving party; or where the information becomes public other than through a breach of this clause.

This obligation continues for 24 months after the audit or partnership ends, whichever is later.

6. Non-circumvention

The audit, and any strategy, product recommendations, positioning, funnel design, or launch plan developed or proposed by CM Media (together, "CM Media Materials"), are provided on the basis that, should the creator wish to act on them, they will do so in partnership with CM Media.

If a creator does not proceed with a Working Agreement with CM Media, the creator agrees not to use CM Media Materials — in substantially the form provided — to build, launch, or commission a competing product or system without CM Media, for a period of 12 months from the date the audit or proposal was provided.

This clause does not prevent a creator from independently pursuing monetisation strategies that were not substantively proposed by CM Media, or from working with other agencies on unrelated approaches.

7. Intellectual property

Each creator retains full ownership of their audience, brand, content, and any intellectual property they bring into a partnership with CM Media. CM Media claims no ownership over a creator's existing brand or audience.

CM Media retains ownership of its own tools, methodology, templates, and any materials it creates independently of a specific creator partnership, except where a Working Agreement states otherwise.

8. No guarantee of results

CM Media works to a genuine, good-faith standard in producing audits and, where applicable, building and running launches. However, no specific financial outcome, revenue figure, or result is guaranteed, as outcomes depend on factors outside CM Media's control, including audience response and market conditions.

9. Termination

Either party may end an active partnership in accordance with the termination provisions set out in the relevant Working Agreement.

Unless otherwise agreed in a Working Agreement, CM Media remains entitled to its agreed revenue-share percentage on revenue generated by products, funnels, or systems built by CM Media during the partnership, for as long as that revenue continues to be generated following termination, up to a maximum of 12 months after the termination date — reflecting that the work delivered continues to generate value after the relationship ends.

CM Media reserves the right to end a partnership, or decline to proceed with one, at its discretion, including where a creator breaches these Terms or a Working Agreement.

10. Limitation of liability

To the extent permitted by law, CM Media's total liability arising out of or in connection with the website, the audit process, or any resulting partnership — whether in contract, tort, or otherwise — is limited to the greater of £500 or the total fees actually paid to CM Media by the creator in the 12 months preceding the event giving rise to the claim.

CM Media is not liable for indirect or consequential losses, including loss of profits, loss of opportunity, or loss of goodwill. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under UK law.

11. Governing law

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Third-party rights

These Terms do not confer any rights on any person who is not a party to them, and no third party has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

13. Assignment

CM Media may assign or transfer its rights and obligations under these Terms in connection with a change in the legal structure or ownership of the business, provided the creator is notified. A creator may not assign their rights or obligations under these Terms without CM Media's prior written consent.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Entire agreement

These Terms, together with any signed Working Agreement, constitute the entire agreement between the parties in relation to their subject matter, and supersede any prior discussions or representations not reflected in a signed Working Agreement.

16. Changes to these Terms

These Terms of Use may be updated from time to time to reflect changes in services, legal obligations, or operating practices. The date at the top of this page will be updated when changes are made. Continued use of the website following any update constitutes acceptance of the revised Terms. For material changes, CM Media will take reasonable steps to notify existing users directly.
